General Partnership is the association of 2 or more people to carry on as co-owners of a business for profit. In this type of partnership partners liability is total, unlimited, including personal assets. Management and control is exercised through general partnership; each partner has equal control.

General partnership has few tax benefits. In terms of taxation, profits are taxed to partners based on ownership percentages.

Registration Information

If you would like to operate in the District of Columbia as a general partnership (GP), you must register with Corporations Division of the Department of Consumer and Regulatory Affairs.

This is the first step in business regulatory compliance. This registration is separate and must be done before entity applies for a business license, permit, tax registration or any other registration within the District.

To register as a domestic general partnership, you must file for statement of authority for domestic general partnership.

To register as a foreign general partnership, you must file for statement of authority for foreign general partnership.
