| Definitions: Corporate Registration
Active - means that corporation, LLC and partnership are registered in the District of Columbia.
Authorized person - any person, whether or not a member, who is authorized by the articles of organization (LLC), by an operating agreement, or otherwise, to execute or file a document required or permitted to be executed or filed on behalf of a LLC and to otherwise act as an agent of the limited liability company.

Board of directors - the group of persons vested with the management of the affairs of a corporation.

Bylaws - The code or codes of rules adopted for the regulation or management of the affairs of a corporation.

Canceled - Entity Status where voluntary termination of entity occurs, usually a LLC or partnership.

Close Corporation -The type of domestic for-profit corporation which is owned and managed by a small group of people (example, family members) and the shares are not issued to public at large.

Consolidated - Entity status where two or more entities becoming one.

Date of Filing - The original date of registration within the District of Columbia.

Dissolved - Entity status where voluntary termination of charter occurred.

Domestic - Entity that was formed in the District of Columbia.

Domestic Corporation (For Profit) - The type of organization that is organized in the District of Columbia with intent of making a profit; required to issue stock shares.

Domestic Professional Corporation (For Profit) - See "Professional Corporation".
Domestic Corporation (Non-Profit) - A nonprofit corporation that was formed in the District of Columbia and that has no "owners" and gives none of its income (except for salaries and expenses) to its members, directors, or officers. A nonprofit may be set up for religious, charitable, educational, benevolent, missionary, scientific, research, literary, musical, social, athletic, patriotic, political, civic, trade association, mutual improvement, and the promotion of the arts. Some nonprofit corporations seek to be exempt from taxation, which requires the approval of the IRS under specific guidelines.

Domestic Limited Liability Company (LLC) - Unincorporated association, with perpetual duration, with one or more members, domestic or foreign.

Domestic Limited Partnership - Special partnership type with limited legal liabilities that was formed in the District of Columbia.

Domestic Limited Liability Partnership - Special partnership type made up of general partners only that was formed in the District of Columbia.

Domestic Cooperative Association - The type of organization that was formed in the District of Columbia where group of people join for mutual benefit

Doing business or conducting affairs - Any activity which is systematic, continuous, and regular in order, which pays, or is subject to the payment of, taxes on earnings, or which qualifies for tax-exempt status under District law.

Expired - Entity Status where term of duration specified has lapsed.

File Number - The tracking number assigned to an organization upon registration. This is not the Federal Employer Tax Identification Number (FEIN).

Foreign - Entity that was formed outside the District of Columbia to include U.S. States, U.S. Territories and Foreign Countries.

Foreign Corporation - A corporation for profit organized under laws other than the laws of the District of Columbia and special acts of Congress.

Merged - Entity Status when two or more entities becoming one. Old Act (OA, Entities before 1964) - Nonprofit Corporations enacted before the law required a registered agent or the filing of reports.

Operating agreement - a written agreement and any written amendment thereto of the members as to the affairs of a limited liability company and the conduct of its business.

Partnership - An association of 2 or more persons to carry on as co-owners a business for profit.

Partner - A limited or general partner.

Person - An individual, corporation, business trust, estate, trust, partnership, association, joint venture, government, governmental subdivision, agency, or instrumentality, or any other legal or commercial entity.

Professional Corporation - A professional corporation is a special type of corporation usually set up by doctors (practitioners of the healing arts), lawyers, certified public accountants, architects, professional engineers, podiatrists and dentists.

Professional Limited Liability Company - A limited liability company organized solely for the purpose of rendering professional services through its members, managers, employees, or agents.

Professional Services - Any type of personal service to the public which may be lawfully rendered only pursuant to a license and which by law, custom, standards of professional conduct or practice in the District of Columbia, before December 10, 1971, could not be rendered by a corporation, including without limitation the services performed by certified public accountants, attorneys, architects, practitioners of the healing arts, dentists, optometrists, podiatrists, and professional engineers.

Revoked - Entity Status that is an involuntary termination of charter or authority.

Registered Agent - The contact point to receive legal notices and mailings from the District. The Registered Agent may be a company or an individual, and must be located and have a street address in the District (post office boxes will not be accepted). Appointing a Registered Agent is part of the corporate registration and process is not available online.

Sole-Proprietorship - Unincorporated business.

Trade Name - Fictions name, "doing business as" name that is different from the true name of entity.

Withdrawal - Entity Status when voluntary termination of a foreign entity occurs.
